These Terms of Service are a legal agreement between you and Ishmail Inc, a Delaware corporation, d/b/a High Dimensional Research ("Ishmail," "we," "us," or "our"), operating under the brand name Vers. Vers is a cloud VM branching platform where humans and AI agents can autonomously write, test, deploy, and host code. By using our website at vers.sh and any related services (the "Service"), you are agreeing to these terms. Please read them carefully.
Service Description
Vers is a product of Ishmail Inc. Vers is a cloud virtual machine (VM) branching platform that provides cloud compute, hosting, and deployment services. The Service enables humans and AI agents to autonomously write, test, deploy, and host code on Vers VMs using APIs, Vers agents or other compatible agents, or other Vers products or services. References to "Vers" in these Terms refer to the Service operated by Ishmail Inc.
The Service includes, but is not limited to, VM provisioning and management, shell authentication for programmatic access, API endpoints, web-based dashboards, and related tools and documentation.
Eligibility
You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
Using Vers
Vers provides a cloud VM branching platform where humans and AI agents can write, test, deploy, and host code. You may use the Service for any lawful purpose, subject to these Terms. You may not use the Service:
- in any way that violates any applicable federal, state, local or international law or regulation
- for the purpose of exploiting, harming, or attempting to exploit or harm minors in any way
- to transmit, or procure the sending of, any advertising or promotional material, including any "junk mail", "chain letter", "spam", or any other similar solicitation
- to impersonate or attempt to impersonate Vers, a Vers employee, another user, or any other person or entity
- in any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity
Your Vers Account
When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.
You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service.
You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
AI Agents and Shell Authentication
Users who deploy AI agents (whether headless or otherwise) via shell authentication or other programmatic means are the principal and bear full legal responsibility for all actions taken by those agents on the Service. You acknowledge that you are solely responsible for configuring, supervising, and controlling any AI agents that operate under your account.
Contracts, transactions, and agreements formed or executed by AI agents acting on your behalf are valid and binding under the Electronic Signatures in Global and National Commerce Act (ESIGN), the New York Electronic Signatures and Records Act (ESRA), and equivalent state laws, to the extent applicable.
You are responsible if any AI agent deployed under your account violates third-party terms of service, the Computer Fraud and Abuse Act (CFAA), the Digital Millennium Copyright Act (DMCA), or any other applicable laws or regulations.
AI agents that handle personal, financial, or confidential data must comply with all applicable regulations, including but not limited to the General Data Protection Regulation (GDPR), the EU Artificial Intelligence Act (EU AI Act), and the Health Insurance Portability and Accountability Act (HIPAA). Users operating in regulated industries such as healthcare or finance must ensure that their agents comply with all industry-specific regulations.
Vers is not liable for any actions taken by user-deployed AI agents, including but not limited to data breaches, unauthorized access, regulatory violations, or damages to third parties.
Payment and Billing
Certain features of the Service require payment of fees. You agree to pay all fees associated with your use of the Service in accordance with the pricing and billing terms presented to you at the time of purchase. All charges are billed in advance on a recurring basis (monthly or annually, depending on your selected plan).
All charges are non-refundable except as expressly stated in these Terms or as required by applicable law. Vers reserves the right to change its pricing at any time with reasonable notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
If payment fails or your account becomes past due, Vers may suspend or terminate your access to the Service. You are responsible for all taxes applicable to your use of the Service.
Free tier usage is subject to fair use limitations. Vers reserves the right to impose or modify usage limits on free tier accounts at any time.
User Content License
Any content, code, data, and materials that you upload, create, store, or process on the Service ("User Content") is subject to the terms of this section. By using the Service, you acknowledge that you are choosing to place your User Content on Ishmail Inc's infrastructure and that you are solely responsible for ensuring that your User Content complies with the Acceptable Use and Compute Prohibitions set forth in these Terms and all applicable laws.
By using the Service, you grant Ishmail Inc a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, fully sublicensable license to use, reproduce, modify, adapt, publish, transmit, distribute, create derivative works from, display, and otherwise exploit your User Content for any lawful business purpose, including but not limited to operating, improving, and developing the Service and other Ishmail Inc products and services, analytics, benchmarking, commercialization, and monetization.
Vers may access your User Content for security monitoring, system maintenance, providing support, complying with applicable law or valid legal process, or any other purpose consistent with the license granted above.
Service Data and Usage Rights
In the course of providing the Service, Vers collects and generates data related to the use of the Service, including but not limited to VM activity data, log traces, system metrics, interaction data generated from user or AI agent activity on Vers VMs, and derivatives thereof ("Service Data"). Service Data is distinct from User Content.
You acknowledge and agree that Vers may collect, use, analyze, and retain Service Data for any lawful business purpose as Ishmail Inc deems necessary, including but not limited to operating and improving the Service, developing new products and features, analytics, benchmarking, creating aggregated or de-identified datasets, commercialization, and monetization. To the extent Service Data contains personally identifiable information, Vers will handle such data in accordance with our Privacy Policy.
Ishmail Inc owns all right, title, and interest in and to Service Data (excluding any User Content contained therein in its original form). This section survives termination of these Terms.
Acceptable Use and Compute Prohibitions
In addition to the general restrictions above, the following activities are expressly prohibited on the Service:
- Cryptocurrency mining or any form of distributed proof-of-work computation
- Launching or facilitating distributed denial-of-service (DDoS) attacks or other network attacks
- Unauthorized network scanning, port scanning, or penetration testing
- Excessive resource consumption that degrades the Service for other users
- Hosting, distributing, or linking to illegal content
- Running, distributing, or hosting malware, ransomware, or other malicious software
- Circumventing or attempting to circumvent resource limits, quotas, or access controls
- Using VMs or any part of the Service to attack, exploit, or compromise other systems or networks
Usage Limits and Fair Use
Access to the Service, including but not limited to the Vers API, VMs, agents, SDKs, and any other Vers products or features, is subject to rate limits and resource caps, which may be adjusted at any time. Vers reserves the right to throttle, suspend, or revoke access to any part of the Service for any account that engages in abusive or excessive usage patterns.
You agree not to use the Service in a manner that circumvents usage limits, overloads the Service, or interferes with other users' access to the Service.
Beta and Preview Features
Vers may offer certain features, services, or functionality designated as beta, preview, experimental, or early access ("Beta Features"). Beta Features are provided "as-is" and "as-available" without any warranties, service level commitments, or support obligations.
Vers may modify, suspend, or discontinue Beta Features at any time without prior notice. Beta Features may contain bugs, errors, or incomplete functionality. Data stored in or processed by Beta Features may not be preserved, migrated, or recoverable.
By using Beta Features, you acknowledge that you do so at your own risk. Vers shall have no liability arising from or related to your use of any Beta Features.
Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of Vers and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.
Vers trademarks and trade dress may not be used in connection with any product or service without prior written consent.
Reverse Engineering and Competitive Use
You may not, and may not permit any third party to: (i) reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying structure, ideas, or algorithms of the Service or any software, documentation, or data related to the Service; (ii) use the Service to build a competitive product or service, or copy any features, functions, or graphics of the Service; (iii) conduct benchmarking, performance testing, or comparative analysis of the Service for publication or competitive purposes without Vers's prior written consent; or (iv) extract, scrape, or mine proprietary algorithms, data structures, or methodologies from the Service.
Nothing in this section restricts your rights to your own User Content or limits any rights that cannot be restricted under applicable open source licenses for open source components of the Service.
Feedback and Suggestions
If you provide Vers with any feedback, suggestions, ideas, improvements, or other input regarding the Service ("Feedback"), you hereby assign to Vers all rights, title, and interest in and to such Feedback. Vers may use, modify, incorporate, and commercialize Feedback without any obligation, compensation, or credit to you. This applies regardless of how Feedback is submitted, whether via email, support channels, in-app mechanisms, social media, or otherwise. You waive any intellectual property claims to submitted Feedback.
Links To Other Web Sites
The Service may contain links to third-party web sites or services that are not owned or controlled by Vers.
Vers has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You acknowledge and agree that Vers shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such web sites or services.
You are strongly advised to read the terms and conditions and privacy policies of any third-party web sites or services that you visit.
Termination
Vers may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
Upon termination, your right to use the Service will cease immediately. If you wish to terminate your account, you may simply discontinue using the Service.
Indemnification
You agree to defend, indemnify, and hold harmless Vers, its directors, officers, employees, agents, licensors, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from: (i) your use of the Service; (ii) your User Content; (iii) actions taken by AI agents deployed under your account; (iv) your violation of these Terms; or (v) your violation of any third-party rights, including intellectual property, privacy, or other proprietary rights.
Limitation Of Liability
In no event shall Vers, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the Service; (ii) any unauthorized access to or use of servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the Service; (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Service by any third party; (v) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, transmitted, or otherwise made available via the Service; and/or (vi) the defamatory, offensive, or illegal conduct of any third party.
In no event shall Vers, nor its directors, employees, agents, partners, suppliers, or affiliates, be liable to you for any claims, proceedings, liabilities, obligations, damages, losses or costs in an amount exceeding the greater of (a) the amount paid by you to Vers hereunder during the twelve (12) month period prior to any cause of action arising, or (b) one hundred dollars ($100.00).
Disclaimer
Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.
Vers, its subsidiaries, affiliates, and its licensors do not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.
Arbitration and Dispute Resolution
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in New York, New York. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Vers.
Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the jurisdictional limits of such court.
Export Compliance
You agree to comply with all applicable United States export and re-export control laws and regulations, including the Export Administration Regulations (EAR) and sanctions programs administered by the Office of Foreign Assets Control (OFAC). You represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to U.S. embargo, and that you are not on any U.S. government restricted party list.
Confidentiality
Vers will treat your data as confidential information and handle it in accordance with our Privacy Policy. Vers will not disclose your confidential information to third parties except as necessary to provide the Service, comply with applicable law, or respond to valid legal process.
Governing Law
These Terms shall be interpreted and governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Vers' failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, network infrastructure failures, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
Assignment
Vers may assign or transfer these Terms, and any rights and obligations hereunder, without restriction, including in connection with a merger, acquisition, sale of assets, or corporate reorganization. You may not assign or transfer these Terms, or any rights or obligations hereunder, without the prior written consent of Vers. Any attempted assignment by you without such consent shall be void. These Terms shall be binding upon and inure to the benefit of the parties, their successors, and permitted assigns.
Electronic Communications Consent
By using the Service, you consent to receive communications from Vers electronically, including via email, in-app notifications, and dashboard notices. You agree that all agreements, notices, disclosures, and other communications that Vers provides to you electronically satisfy any legal requirement that such communications be in writing. You are responsible for keeping your email address and contact information current in your account settings.
Severability
If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of these Terms shall remain in full force and effect.
Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Vers regarding your use of the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service.
Changes To Terms
Vers reserves the right, at its sole discretion, to modify or replace these Terms at any time. We will notify you of changes by posting the updated Terms on our website and may also notify you via email. What constitutes a material change will be determined at Vers' sole discretion.
By continuing to access or use the Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

You agree to defend, indemnify, and hold harmless Vers, its directors, officers, employees, agents, licensors, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from: (i) your use of the Service; (ii) your User Content; (iii) actions taken by AI agents deployed under your account; (iv) your violation of these Terms; or (v) your violation of any third-party rights, including intellectual property, privacy, or other proprietary rights.
Limitation Of Liability
In no event shall Vers, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the Service; (ii) any unauthorized access to or use of servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the Service; (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Service by any third party; (v) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, transmitted, or otherwise made available via the Service; and/or (vi) the defamatory, offensive, or illegal conduct of any third party.
In no event shall Vers, nor its directors, employees, agents, partners, suppliers, or affiliates, be liable to you for any claims, proceedings, liabilities, obligations, damages, losses or costs in an amount exceeding the greater of (a) the amount paid by you to Vers hereunder during the twelve (12) month period prior to any cause of action arising, or (b) one hundred dollars ($100.00).

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.
Vers, its subsidiaries, affiliates, and its licensors do not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.
Arbitration and Dispute Resolution
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in New York, New York. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Vers.
Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the jurisdictional limits of such court.
Export Compliance
You agree to comply with all applicable United States export and re-export control laws and regulations, including the Export Administration Regulations (EAR) and sanctions programs administered by the Office of Foreign Assets Control (OFAC). You represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to U.S. embargo, and that you are not on any U.S. government restricted party list.
Confidentiality
Vers will treat your data as confidential information and handle it in accordance with our Privacy Policy. Vers will not disclose your confidential information to third parties except as necessary to provide the Service, comply with applicable law, or respond to valid legal process.
Governing Law
These Terms shall be interpreted and governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Vers' failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, network infrastructure failures, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
Assignment
Vers may assign or transfer these Terms, and any rights and obligations hereunder, without restriction, including in connection with a merger, acquisition, sale of assets, or corporate reorganization. You may not assign or transfer these Terms, or any rights or obligations hereunder, without the prior written consent of Vers. Any attempted assignment by you without such consent shall be void. These Terms shall be binding upon and inure to the benefit of the parties, their successors, and permitted assigns.
Electronic Communications Consent
By using the Service, you consent to receive communications from Vers electronically, including via email, in-app notifications, and dashboard notices. You agree that all agreements, notices, disclosures, and other communications that Vers provides to you electronically satisfy any legal requirement that such communications be in writing. You are responsible for keeping your email address and contact information current in your account settings.
Severability
If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of these Terms shall remain in full force and effect.
Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Vers regarding your use of the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service.
Changes To Terms
Vers reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, Vers will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at Vers' sole discretion.
By continuing to access or use the Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
